Terms & Conditions

This agreement applies between you, the User of this Web Site and LED Trade, the owner(s) of this Web Site. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Web Site. If you do not agree to be bound by these terms and conditions, you should stop using the Web Site immediately.

Definitions and Interpretation

In this Agreement the following terms shall have the following meanings:

“Content” means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Web Site;

“LED Trade” means Saddex LTD trading as LED trade with Company Registration Number 07615705

“Service” means collectively any online facilities, tools, services or information that LED Trade makes available through the Web Site either now or in the future;

“System” means any online communications infrastructure that LED Trade makes available through the Web Site either now or in the future. This includes, but is not limited to, web-based email, message boards, live chat facilities and email links;

“User” / “Users” means any third party that accesses the Web Site and is not employed by LED Trade and acting in the course of their employment; and

“Web Site” means the website that you are currently using (www.ledtrade.co.uk).

Eligibility

Our services are void where prohibited by applicable laws. Our Service is offered only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our Service is not available to minors under the age of eighteen (18) or to anyone who may not be able to form a legally binding contract within such person’s jurisdiction. Any misstatements and/or misrepresentations regarding the age, background, experience and/or eligibility of any users of the Service are not the responsibility of LED Trade.

LED Trade does hereby expressly disclaim any liability whatsoever for any misstatements and/or misrepresentations made by any users of this Site or the Service. Users do hereby represent, understand and agree to hold LED Trade harmless and to indemnify LED Trade for any misstatements and/or misrepresentations, whether made intentionally or not, made by any users of this Site or the Service.

Your Account

Using our Services requires you to register with us and open an account. At the time of registration, you agree to provide us with the personal and other information that is necessary to offer you our Services. Those must be true, accurate, complete and kept up to date. You should note that a failure to provide true, accurate, complete and up-to-date details forces us to end the relationship with you and to immediately terminate the Services offered to you. Also, you are responsible for all activity on your account, whether or not you authorize it.

In order to access your Account, you will be required to provide your member name and password. It is your responsibility to create a strong password and protect your login details and restrict access to your account. You must notify us immediately if the security of your account has been compromised and you accept and acknowledge that we do not assume any responsibility for the safety of your account nor can be held liable for security breaches and activities that occur under your Account nor can accept any risks deriving from authorized or unauthorized access or fraudulent entry to your account to the maximum extent permitted by law.

Products

We will take all reasonable efforts to ensure that the product information is accurate and current. This includes estimated delivery dates and production times.

Despite all our best efforts, it may be the case that some element of the product information does not exactly reflect the details of the actual product. In particular, the accuracy of the colour of the product on the website and the design uploaded which can be due to the differences in computer screens and monitors mean that the actual colour of the product that you receive will differ from how you see it on the website.

Prices

All prices that are advertised on our website are correct at the time of booking. LED Trade reserves the right and discretion to change our prices at any time. Please check our website for up-to-date prices and special offers before you book.

Any fees charged by your debit or credit card provider in connection with your purchase of a Service or Product are for your own account and LED Trade shall not be responsible for these.

Purchases and Orders

Placing an order on LED Trade`s website does not constitute a contract until the order is confirmed in writing and you have been notified. We take payment at the time that you place an order with us.

If for any reason, there is a problem in processing the order, LED Trade will contact you to ask for corrections or asks for additional information to resolve the issue. LED Trade reserves the right to cancel any such order if you fail to provide the requested information within 7 days of any such request.

Cancellations

You have a right to cancel your order within 14 days of being placed, in that case, please fill out the form provided in the website footer section. All cancellation or refund requests must be authorised by any member of our staff before you can send the items back. Please await our reply first. Usually, we will reply within 24 hours from the request received.

Delivery

All in-stock items will be despatched the same day if ordered by 12 noon and will be sent via next-day delivery (if this service is selected during checkout) excluding Inverness, Highlands, Northern Ireland, Isle of Man, Isle of Wight, Paisley and Aberdeen which will be delivered on a Two-Day Service. We do not offer international delivery at this time, but we will update our site if we can offer this service in the future. The turnaround dates are estimates and cannot be guaranteed.

Where delivery is delayed due to exceptional circumstances, we will process the delivery as soon as we reasonably can and will keep you updated regarding this by email. We will have no liability to you in that circumstance.

Where delivery is not possible as a result of us being provided with the incorrect delivery address details, our delivery service will return the Products to us and we will hold these for 5 working days. We reserve the right to make an additional delivery charge for the re-despatch of the Products to the correct delivery address. If you have not contacted us regarding re-despatch within 5 working days, we may recycle the Products at our option and you will need to place a new order with us if the Products are still required.

You must notify us within 30 days of the date that the Products were dispatched of any failure on our part to deliver the Products in order that we can investigate the failure and take appropriate action.

The Products will be at your risk from the time of delivery.

Ownership of the Products will pass to you on delivery.

Intellectual Property

All Content included on the Web Site, unless uploaded by Users, including, but not limited to, text, graphics, logos, icons, and images, is the property of LED Trade, our affiliates or other relevant third parties. By continuing to use the Web Site you acknowledge that such material is protected by applicable to the United Kingdom and International intellectual property and other relevant laws.

Subject to sub-clause 2.3 you may not reproduce, copy, distribute, store or in any other fashion re-use material from the Web Site unless otherwise indicated on the Web Site or unless given express written permission to do so by LED Trade.

Material from the Web Site may be re-used without written permission where any of the exceptions detailed in Chapter III of the Copyright Designs and Patents Act 1988 apply.

This Web Site may contain links to other sites. Unless expressly stated, these sites are not under the control of LED Trade or of our affiliates. We assume no responsibility for the content of such websites and disclaim liability for any and all forms of loss or damage arising out of their use of them. Every effort has been made to ensure that these terms and conditions adhere strictly to the relevant provisions of the Unfair Contract Terms Act 1977. However, in the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these terms and conditions and shall not affect the validity and enforceability of the remaining terms and conditions. This term shall apply only within jurisdictions where a particular term is illegal.

No Waiver

In the event that any party to these Terms and Conditions fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.

Previous Terms and Conditions

In the event of any conflict between these Terms and Conditions and any prior versions thereof, the provisions of these Terms and Conditions shall prevail unless it is expressly stated otherwise.

Notices

All notices/communications shall be given to us either by post to our Premises (see address above) or by email to sales@ledtrade.co.uk. Such notice will be deemed received 3 days after posting if sent by first class post, the day of sending if the email is received in full on a business day and on the next business day if the email is sent on a weekend or public holiday.

Law and Jurisdiction

These terms and conditions and the relationship between you and LED Trade shall be governed by and construed in accordance with the Law of England and Wales and LED Trade and you agree to submit to the exclusive jurisdiction of the Courts of England and Wales.
